Introduction

These Terms of Service ("Terms", "Agreement") govern your access to and use of Workstation AI's website, services, and products (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Definitions

For purposes of these Terms:

**"Service"** refers to the Workstation AI platform, website, API, software, and all related services
**"User", "You"** refers to the individual or entity accessing or using the Service
**"Company", "We", "Us"** refers to Workstation AI and its affiliates
**"Content"** refers to all data, text, software, code, images, and other materials
**"Account"** refers to your registered user account on the Service
**"Subscription"** refers to your paid access plan to the Service

2. Acceptance of Terms

By creating an account, accessing the Service, or clicking "I Agree", you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Account Registration and Security

Account Creation

You must provide accurate, current, and complete information during registration
You must maintain and promptly update your account information
You are responsible for maintaining the confidentiality of your account credentials
You may not share your account with others or allow others to access your account
You must be at least 16 years old to create an account

Account Security

You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms
We are not liable for any loss or damage arising from unauthorized account access

4. Acceptable Use Policy

You agree NOT to use the Service to:

Violate any laws, regulations, or third-party rights
Distribute malware, viruses, or harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Service or servers
Scrape, crawl, or harvest data from the Service without permission
Use the Service for illegal activities, fraud, or deceptive practices
Generate spam, phishing content, or misleading information
Reverse engineer, decompile, or attempt to extract source code
Resell or redistribute the Service without authorization
Use the Service to compete with Workstation AI

5. Subscription and Payment Terms

Billing

Subscriptions are billed in advance on a monthly or annual basis
Payment is due upon subscription and renewal
All fees are non-refundable except as required by law
We reserve the right to change pricing with 30 days' notice

Auto-Renewal

Subscriptions automatically renew unless cancelled
You may cancel anytime before the next billing cycle
Cancellation takes effect at the end of the current billing period
No refunds for partial subscription periods

Free Trials

Free trials are available for first-time users only
Credit card required for free trial activation
You will be charged unless you cancel before trial ends
We reserve the right to modify or discontinue free trials

6. Intellectual Property Rights

Our IP

All Service content, features, functionality, trademarks, logos, and technology are owned by Workstation AI and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

Your Content

You retain ownership of all content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide the Service. You represent that you have all necessary rights to grant this license.

AI-Generated Content

Content generated by our AI services is owned by you, subject to these Terms. However, similar content may be generated for other users. We make no guarantees regarding uniqueness of AI-generated content. You are responsible for reviewing and validating all AI-generated content before use.

7. Data Usage and AI Training

We may use aggregated, anonymized data derived from your use of the Service to improve our AI models and services. We do NOT use your private data, proprietary code, or confidential information to train models accessible by other users. See our Privacy Policy for detailed information on data handling.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

The Service will be uninterrupted, timely, secure, or error-free
Results from the Service will be accurate or reliable
AI-generated content will be free from errors or meet your requirements
Any defects will be corrected
The Service will be compatible with all systems or software

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKSTATION AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Workstation AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you submit or generate using the Service
Your breach of any representation or warranty

11. Termination

By You

You may terminate your account at any time through account settings or by contacting support. Termination is effective at the end of your current billing period.

By Us

We may suspend or terminate your account immediately without notice if you violate these Terms, engage in fraudulent activity, or for any reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

Effect of Termination

Upon termination, we may delete your account data after a reasonable retention period. You remain liable for all charges incurred before termination. Provisions that should survive termination (including warranties, indemnification, and limitations of liability) will continue to apply.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or Service notification at least 30 days before the effective date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you disagree with changes, you must stop using the Service and cancel your account.

13. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

14. General Provisions

**Entire Agreement**: These Terms constitute the entire agreement between you and Workstation AI
**Severability**: If any provision is found unenforceable, the remaining provisions continue in effect
**Waiver**: Failure to enforce any right or provision does not constitute a waiver
**Assignment**: You may not assign your rights; we may assign ours to affiliates or successors
**Force Majeure**: We are not liable for delays or failures due to circumstances beyond our control
**Export Compliance**: You must comply with all export laws and regulations
**No Third-Party Beneficiaries**: These Terms do not create rights for third parties

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
